Avalw Vision

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Avalw ("Company," "we," "us," or "our") governing your use of the Avalw Vision mobile application ("App").
By accessing or using the App, you confirm that you:

Avalw Vision is a privacy analysis tool that scans and analyzes privacy policies, terms of service, and other legal documents to help users understand what they contain.
Avalw Vision Premium unlocks additional capabilities:
Free users receive 3 document scans. After the free scans are used, a Premium subscription is required to continue scanning. The free scan counter is stored securely on your device and persists across app reinstallations.

Prices may vary by region and are displayed in your local currency in the App Store.
All payments are processed by Apple through the App Store. By subscribing, you agree to Apple's terms of payment. Payment is charged to your Apple ID account at confirmation of purchase.
Monthly and Annual subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period. Upon renewal, your Apple ID account will be charged at the same rate as the current period unless the price has changed, in which case you will be notified in advance.
You can cancel your subscription at any time through your Apple ID Account Settings:
Cancellation takes effect at the end of the current billing period. You will retain access to Premium features until that date. No partial refunds are provided for unused portions of a subscription period.
The Lifetime plan is a one-time, non-recurring purchase that grants permanent access to all Premium features, including future feature releases. "Lifetime" refers to the lifetime of the product (i.e., as long as Avalw Vision is available and maintained), not the lifetime of the purchaser.
Refund requests are handled by Apple in accordance with their refund policy. To request a refund, visit https://reportaproblem.apple.com or contact Apple Support. We do not process refunds directly.
If a free trial is offered, it will be clearly indicated before purchase. If you do not cancel before the free trial ends, your subscription will automatically convert to a paid subscription at the advertised rate.
We reserve the right to change subscription prices at any time. Price changes for existing subscribers will take effect at the start of the next billing period following notice of the change. Continued use of the App after a price change constitutes acceptance of the new price.
You agree to use the App only for lawful purposes and in accordance with these Terms. You agree NOT to:
The App, including but not limited to its code, design, graphics, interface, algorithms, analysis logic, scoring methodology, clause detection patterns, tracker database, and all related documentation, is the exclusive property of Avalw and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on devices that you own or control, solely for your personal, non-commercial purposes.
This license does not include the right to:
You retain ownership of any content you provide to the App for analysis (URLs, text, photos, PDFs). By using the App, you grant us no rights to your content — all processing occurs locally on your device and we never access, store, or transmit your content.
If you provide feedback, suggestions, or ideas about the App, you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use, modify, and incorporate such feedback into the App without obligation to you.
THE APP IS AN INFORMATIONAL TOOL ONLY. THE ANALYSIS, SCORES, GRADES, CLAUSE DETECTION, AND ALL OTHER OUTPUT PROVIDED BY THE APP DO NOT CONSTITUTE LEGAL ADVICE, LEGAL OPINION, OR LEGAL REPRESENTATION.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS.
The App analyzes documents and websites created by third parties. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services that you choose to scan.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AVALW, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.
ANY AMOUNT IN EXCESS OF THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless Avalw and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from:
This defense and indemnification obligation will survive the termination of these Terms and your use of the App.
You may terminate these Terms at any time by deleting the App from your device and ceasing all use. If you have an active subscription, you must also cancel it through your Apple ID Account Settings to stop future charges.
We reserve the right to suspend or terminate your access to the App at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to:

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. You agree to contact us at office@avalw.com before initiating any formal proceedings.
If a dispute cannot be resolved through negotiation, you agree to submit to the exclusive jurisdiction of the courts located in Romania for any legal proceedings arising out of these Terms.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
You agree that any claim arising out of or related to these Terms or the App must be filed within one (1) year after the cause of action arose, or such claim is permanently barred.
We reserve the right to modify these Terms at any time. When we make changes, we will:

Avalw Vision is built using Apple's native frameworks and does not incorporate third-party open-source libraries. The App uses the following Apple frameworks:
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.
These Terms, together with the Privacy Policy (available at vision.avalw.ai/privacy), constitute the entire agreement between you and Avalw regarding your use of the App and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the App.
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
